PaidFast Terms of Service

1. Introduction and Acceptance

Welcome to PaidFast. PaidFast is a product of ProductSuch Limited ("ProductSuch", "PaidFast", "we", "us", or "our"). PaidFast is a professional invoicing and payment collection platform designed for small and medium-sized businesses ("SMEs"), built for African markets first and designed to scale globally (the "Service").

These Terms of Service ("Terms") form a binding agreement between you and ProductSuch Limited. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you use the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

References to "PaidFast" in these Terms mean ProductSuch Limited, trading as PaidFast.

2. Description of the Service

The Service includes, without limitation:

  • Invoicing and quotations — creating, sending, and tracking invoices, quotations, statements, and related documents, including PDF generation and shareable payment links.
  • Customer management — a directory of your customers, their contact channels, tax identification details, and payment terms.
  • Payment collection — collection of payments from your customers through third-party payment providers, which may include M-Pesa and other mobile money services (for example via IntaSend), Airtel Money, Pesapal, Stripe, and PayPal, with reconciliation against invoice balances.
  • Automated reminders and notifications — scheduled payment reminders and receipts delivered by email and WhatsApp.
  • WhatsApp workflows — creating draft invoices and sending documents through WhatsApp conversations, using the WhatsApp Business Platform.
  • Customer payment portal — secure links and a portal through which your customers can view documents and pay invoices, protected by access tokens and one-time passcodes (OTP).
  • Compliance and e-invoicing tools — adapters that validate invoices against government e-invoicing systems where applicable (for example Kenya's eTIMS), on a country-by-country basis.
  • Integrations — optional connections that synchronize customers, invoices, and payments with third-party accounting or ERP systems you authorize.

We may add, modify, or discontinue features at any time. Where a change materially reduces core functionality of a paid plan, we will use reasonable efforts to give you advance notice.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use, not for personal or household consumer use.

3.2 Account registration

You may register with an email address and password or through a supported identity provider (such as Google). You agree to provide accurate, current, and complete information and to keep it up to date. You may be required to verify your email address before using certain features.

3.3 Account security

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at the contact address in Section 16 if you suspect unauthorized access. We are not liable for losses arising from your failure to protect your credentials.

3.4 Organizations and team members

Your account is associated with an organization (your business), including its country, currency, and tax profile. If the Service allows multiple users within an organization, the organization is responsible for the acts and omissions of all its users.

4. Subscription Plans, Fees, and Billing

4.1 Plans

The Service is offered under a free plan and one or more paid plans (for example, a "Starter" plan). Each plan is subject to usage limits (such as the number of invoices, customers, and quotations per billing period) described in the Service or on our pricing page. We may change plan features, limits, and pricing; changes to paid plan pricing take effect at your next renewal after notice to you.

4.2 Payment and renewal

Paid plans are billed in advance on a recurring basis (for example, monthly) in the currency stated at checkout (for example, Kenyan Shillings). Subscription payments are processed by third-party payment providers such as Pesapal or Stripe. By subscribing, you authorize us and our payment providers to charge your chosen payment method on each renewal until you cancel.

4.3 Cancellation

You may cancel a paid plan at any time through the Service. Cancellation takes effect at the end of the current billing period, and you retain paid features until then. Except where required by law, fees are non-refundable, including for partial billing periods or unused limits.

4.4 Downgrades and non-payment

If your subscription lapses or payment fails, your account may be downgraded to the free plan and become subject to free plan limits. We may suspend access to paid features until outstanding amounts are settled.

4.5 Taxes

Fees are exclusive of applicable taxes (such as VAT) unless stated otherwise. You are responsible for any taxes associated with your purchase, other than taxes on our income.

4.6 Coupons and promotions

We may offer coupons, trials, or promotional pricing. These are subject to their stated conditions, may be withdrawn at any time, and have no cash value.

5. Payments Collected from Your Customers

5.1 PaidFast is not a payment processor

Payments from your customers are processed by independent third-party providers (for example M-Pesa/IntaSend, Airtel Money, Pesapal, Stripe, PayPal). PaidFast is not a bank, money transmitter, or payment processor and does not hold funds on your behalf. Your use of each payment provider is subject to that provider's own terms and fees, and you may need your own account with the provider.

5.2 Your responsibility

You are solely responsible for: (a) the accuracy of invoices and amounts you bill; (b) the goods or services underlying your invoices; (c) refunds, chargebacks, and disputes with your customers; and (d) complying with payment provider rules. PaidFast reconciles payment notifications against invoice balances as a convenience but does not guarantee receipt, timing, or settlement of any payment.

6. Compliance and Tax Features

The Service may validate invoices against, or submit invoice data to, government e-invoicing and tax systems (for example Kenya Revenue Authority's eTIMS) where you enable such features. You acknowledge that:

  • These features are provided as a technical convenience and do not constitute tax, legal, or accounting advice.
  • You remain solely responsible for your tax and regulatory compliance, including the accuracy of tax identification numbers, tax rates, and filings.
  • Government systems are outside our control; we are not responsible for their availability, rejection of submissions, or changes to their requirements.
  • Availability of compliance features varies by country and may be introduced, changed, or withdrawn on a country-by-country basis.

7. Messaging (Email and WhatsApp)

The Service can send invoices, reminders, receipts, and OTP codes to your customers by email and WhatsApp on your behalf. You represent and warrant that:

  • You have a lawful basis and, where required, the consent of each recipient to be contacted through the chosen channel;
  • You will comply with applicable anti-spam, consumer protection, and telecommunications laws, and with the WhatsApp Business Platform and Meta policies;
  • You will honor recipient opt-out requests promptly.

We may throttle, suspend, or disable messaging features for accounts that generate excessive complaints, blocks, or policy violations.

8. Your Content and Data

8.1 Ownership

You retain all rights to the data you and your users submit to the Service, including customer records, invoices, and business information ("Customer Content"). We claim no ownership of Customer Content.

8.2 License to us

You grant PaidFast a worldwide, non-exclusive license to host, store, process, transmit, and display Customer Content solely as needed to provide, secure, and improve the Service, and as described in our Privacy Policy.

8.3 Your customers' data

You are the party responsible (data controller) for the personal data of your customers that you submit to the Service. You represent that you have the right to submit that data and to have PaidFast process it, including sending communications and payment links to your customers.

8.4 Integrations

If you connect a third-party accounting, ERP, or other system, you authorize PaidFast to exchange data with that system as configured by you (for example syncing customers and invoices, and writing back payments). Third-party systems are governed by their own terms, and we are not responsible for their acts, omissions, or data handling.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or deceptive purpose, including issuing false invoices, invoicing for illegal goods or services, money laundering, or terrorist financing;
  • Send spam or unsolicited communications, or contact recipients without a lawful basis;
  • Misrepresent your identity, business, or authority;
  • Upload malicious code or attempt to probe, scan, or breach the security of the Service;
  • Access the Service by automated means (scraping, bots) except through interfaces we intentionally provide;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Resell, sublicense, or provide the Service to third parties as a service bureau without our written consent;
  • Reverse engineer or copy any part of the Service except as permitted by law.

We may investigate suspected violations and may suspend or terminate accounts that violate this Section.

10. Intellectual Property

The Service, including its software, design, trademarks (including the PaidFast name and logo), and documentation, is owned by ProductSuch Limited or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription. No other rights are granted.

If you provide feedback or suggestions, we may use them without restriction or obligation to you.

11. Third-Party Services

The Service interoperates with third-party services, including payment providers, the WhatsApp Business Platform, email delivery services, identity providers (such as Google), government e-invoicing systems, and accounting/ERP platforms. We do not control third-party services and are not responsible for their availability, accuracy, fees, or data practices. Your use of them is at your own risk and subject to their terms.

12. Suspension and Termination

12.1 By you

You may stop using the Service and cancel your account at any time.

12.2 By us

We may suspend or terminate your access, with notice where practicable, if: (a) you materially breach these Terms; (b) we are required to do so by law or by a payment or platform partner; (c) your use poses a security, legal, or reputational risk to us, other users, or third parties; or (d) your account has unpaid fees. We may also terminate free accounts that have been inactive for an extended period, with reasonable prior notice.

12.3 Effect of termination

Upon termination, your right to use the Service ceases. For a reasonable period after termination (except termination for serious breach), we will provide a means for you to export your Customer Content upon request, after which we may delete it in accordance with our Privacy Policy and data retention practices. Sections that by their nature should survive (including Sections 5, 8.2, 10, 13, 14, and 15) survive termination.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIDFAST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, THAT INVOICES OR MESSAGES WILL BE DELIVERED, THAT PAYMENTS WILL BE COLLECTED, OR THAT COMPLIANCE SUBMISSIONS WILL BE ACCEPTED BY ANY GOVERNMENT SYSTEM.

NOTHING IN THE SERVICE CONSTITUTES LEGAL, TAX, ACCOUNTING, OR FINANCIAL ADVICE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PAIDFAST WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • PAIDFAST'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO PAIDFAST IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100 (OR ITS LOCAL CURRENCY EQUIVALENT).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

15. Indemnity

You will indemnify and hold harmless PaidFast and its officers, directors, employees, and agents from and against claims, damages, and expenses (including reasonable legal fees) arising from: (a) your Customer Content; (b) your invoices, goods, or services and disputes with your customers; (c) your breach of these Terms or of applicable law, including messaging, tax, and data protection laws; or (d) your misuse of the Service.

16. General

  • Governing law and disputes. These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-laws rules, regardless of the country from which you access or use the Service. The parties will first attempt to resolve disputes amicably; failing that, disputes shall be submitted to the courts of Kenya, unless mandatory law in your jurisdiction provides otherwise.
  • Multi-country operation. PaidFast is expanding beyond Kenya into other markets. As we do, we may introduce country-specific addenda (for example for local tax, e-invoicing, or consumer-protection requirements), which will be presented to you where relevant and will supplement, not replace, these Terms. Nothing in these Terms limits any rights you have under mandatory law in your country that cannot be waived by contract.
  • Changes to these Terms. We may update these Terms from time to time. Material changes will be notified through the Service or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
  • Notices. We may notify you via the Service or the email address on your account. Legal notices to PaidFast should be sent to the contact address below.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of telecommunications networks, mobile money systems, or government platforms.
  • Severability; waiver. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
  • Entire agreement. These Terms, together with the Privacy Policy and any order or plan terms, are the entire agreement between you and ProductSuch Limited regarding the Service.
